YOU MUST READ THE FOLLOWING TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS WEBSITE AND/OR PURCHASING FROM IMR Batteries.

The terms and conditions herein apply to all orders - phone, fax, trade show, online, in person, etc. Our terms and conditions will automatically supersede without notice any terms on a Purchase Order we receive. All users of this site agree that access to and use of this site are subject to the following terms and conditions and other applicable law.

If you do not agree to these terms and conditions, please do not use this site or make a purchase.

 

BEFORE PURCHASE YOU MUST AGREE TO THE FOLLOWING:

I have read the warnings on the product page(s) and clearly understand the potential dangers of using lithium ion batteries. I understand that lithium ion batteries are designed and intended to be used within SYSTEM INTEGRATIONS OR BATTERY PACKS ONLY. I will ONLY use the products purchased from IMR Batteries in a manner that is specified by the manufacturer of the particular product. 

I understand lithium ion batteries should not be kept or stored loose in a pocket/purse/etc, should be kept AWAY from metal objects to prevent short circuiting, and when not in use should ALWAYS be stored in the protective box/case in which the batteries were delivered. 

When purchasing products for resale purposes, I agree to forward all warnings to all customers for their reference and safety. I will not sell the products purchased for use with or for e-cigarettes/vaporizers.  I will not use the products purchased from IMR Batteries with or for e-cigarettes/vaporizers. 

IMR Batteries makes no guarantee of merchantability, suitability, or fitness for a particular purpose. The purchaser or user is solely responsible for determining whether a particular product is compatible and/or suitable for a particular purpose. IMR Batteries does not provide a warranty, whether express or implied, for any product. Any applicable warranty is provided by the manufacturer of the product. 

All pictures shown are for illustrative purposes only and may not be an exact representation of the product. Actual product may vary. Specifications are described per the manufacturer of the product and NOT IMR Batteries. 

Unless agreed to in writing, IMR Batteries makes no guarantee, representation, or warranty that a particular product will have a particular lot number, batch number, serial number, date of manufacture, grade, rank, or quality. 

Furthermore, I shall INDEMNIFY and hold IMR Batteries, its parents, directors, officers, partners, contractors, licensors, employees, and agents HARMLESS from and against all claims, demands, damages, liabilities, losses and expenses, including reasonable attorney’s fees, arising from the use or resale of the products in a manner that violates these terms and conditions. 

IMR Batteries will not be held liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to this agreement or the transactions it contemplates (whether for breach of contract, tort, negligence, or other form of action) and irrespective of whether IMR Batteries has been advised of the possibility of such damage.

Unless prohibited by law, in no event will IMR Batteries be held liable for any amount exceeding the price paid for the specific goods provided by IMR Batteries giving rise to the claim or cause of action.

Typographical Errors

In the event that an IMR Batteries product is mistakenly listed at an incorrect price, IMR Batteries reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. IMR Batteries reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, IMR Batteries shall issue a credit to your credit card account in the amount of the cancellation.

 

Term Termination

This contract is applicable to you upon your accessing the site and/or completing the registration or shopping process. This contract, or any part of it, may be terminated by IMR Batteries without notice at any time, for any reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

IMR Batteries may deliver notice to you by means of e-mail, a general notice on the site, or by other reliable method to the address you have provided to IMR Batteries.

 

Miscellaneous

Your use of this site shall be governed in all respects by the laws of the state of Texas, U.S.A., without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of IMR Batteries products) shall be in the state or federal courts located in Harris County, Texas. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of IMR Batteries products) must be commenced within one (1) year after the claim or cause of action arises. IMR Batteries' failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. IMR Batteries may assign its rights and duties under this Agreement to any party at any time without notice to you.

 

Use of Site

Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including an IMR Batteries or other licensed employee, host, or representative, as well as other members or visitors on the site is prohibited. You may not upload to, distribute, or otherwise publish through the site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or other organization.

 

Participation Disclaimer

IMR Batteries does not and cannot review all communications and materials posted to or created by users accessing the site, and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user-generated content on the site, IMR Batteries is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site. In an attempt to provide increased value to our visitors, IMR Batteries may link to sites operated by third parties. However, even if the third party is affiliated with IMR Batteries, IMR Batteries has no control over these linked sites, all of which have separate privacy and data collection practices, independent of IMR Batteries. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, IMR Batteries seeks to protect the integrity of its web site and the links placed upon it and therefore requests any feedback on not only its own site, but for sites it links to as well (including if a specific link does not work). 

 

Dispute Resolution

Mindful of the high cost of litigation, not only in dollars, but also in time and energy, the parties intend to and do hereby establish the following out-of-court alternate dispute resolution procedure to be followed in the event any controversy or dispute should arise out of, or relating to this contract or relating to any change orders or other changes or addendum to this contract where the amount in controversy exceeds US$10,000.

If a dispute develops between the parties to this contract, they will submit to mediation to address any controversy or claim arising out of, or relating to this contract or relating to any change orders or other changes or addendum to this contract. Prior to the beginning of the mediation process, the parties may agree that if there is one or more disputed items that remain unresolved at the end of the mediation, the parties will proceed with binding mediation where the mediator will render a final and binding decision on those unresolved items, or the parties may elect to submit the remaining unresolved items to a med-arb procedure where a new and separate binding arbitration session will be scheduled to settle any unresolved issues remaining after the mediation session has been concluded. The parties must mutually agree to utilize binding mediation or arbitration or the parties will be bound only to participate in the mediation process. The mediation and/or arbitration shall be conducted by a dispute resolution service of IMR Batteries' choice. Both parties shall share the cost of the dispute resolution process equally up to and including the mediation settlement agreement or arbitration award although personal attorneys and witnesses or specialists are the direct responsibility of each party and their fees and expenses shall be the responsibility of the individual parties. As part of the decision of the mediator in binding mediation or as part of the Arbitration Award, the mediator or arbitrator shall award the prevailing party reasonable attorney’s fees and reasonable expenses in any manner in which the mediator or arbitrator feels is fair and equitable to the parties. The Mediation Settlement Agreement and/or Arbitration Award shall be binding on the parties and shall be enforceable in any court of competent jurisdiction.

To modify your e-mail subscriptions, please let us know by modifying your preferences in the "My Account" section. Please note that due to email production schedules you may receive any emails already in production.

To delete all of your online account information from our database, sign into the "My Account" section of our site and remove your shipping addresses, billing addresses & payment information. Please note that we may maintain information about an individual sales transaction in order to service that transaction and for record keeping.
